Software License Agreement

1. License Grant

Subject to the terms and conditions of this Agreement, LAW360 hereby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the LAW360 platform and its associated services solely for your internal business purposes. This license does not include the right to sublicense, distribute, or make the platform available to any third party. The license is contingent upon your compliance with all terms set forth in this Agreement and your active subscription to a valid LAW360 plan.

2. Permitted Uses

Under this license, you are permitted to use the LAW360 platform for the following purposes:

  • Legal document translation, including contracts, court filings, regulatory submissions, and legal briefs across all supported languages and jurisdictions.
  • Contract analysis and review, including clause identification, terminology extraction, and consistency verification across translated documents.
  • Terminology management, including the creation, maintenance, and sharing of custom legal glossaries and jurisdiction-specific term databases within your organization.
  • API integration for internal tools, allowing you to programmatically access LAW360 translation and analysis capabilities within your own internal workflows, subject to your plan’s API usage limits.
  • Collaborative review and editing of translated documents by authorized members of your organization.

3. Restrictions

You shall not, and shall not permit any third party to, engage in any of the following activities:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the LAW360 platform or any of its components.
  • Resell, sublicense, lease, rent, or otherwise redistribute access to the LAW360 platform or its outputs to any third party, whether for commercial gain or otherwise.
  • Use the platform, its outputs, or any data derived from it to train, fine-tune, or develop competing artificial intelligence models, machine learning systems, or translation engines.
  • Scrape, crawl, or systematically extract data from the platform through automated means beyond the scope of the authorized API, including translation outputs, terminology data, or model responses.
  • Remove, alter, or obscure any proprietary notices, labels, or markings on the platform or its outputs.
  • Use the platform in any manner that violates applicable local, national, or international laws or regulations.

4. Intellectual Property

LAW360 and its licensors retain all right, title, and interest in and to the LAW360 platform, including but not limited to all software, AI models, translation engines, algorithms, user interfaces, documentation, and all related intellectual property rights. Nothing in this Agreement transfers any ownership of LAW360 intellectual property to you.

You retain full ownership of all documents, content, and data that you upload to or create on the LAW360 platform. This includes your original source documents, the translated outputs generated from your documents, and any custom glossaries or terminology databases you create. LAW360 claims no ownership rights over your content. By using the platform, you grant LAW360 a limited, non-exclusive license to process your documents solely for the purpose of providing the translation and analysis services described herein.

5. Termination

This license is effective until terminated. LAW360 may terminate or suspend your license and access to the platform under the following conditions:

  • You breach any term or condition of this Agreement and fail to remedy such breach within thirty (30) days of receiving written notice.
  • You fail to pay any applicable subscription fees within the grace period specified in your billing terms.
  • You use the platform in a manner that poses a security risk, causes harm to other users, or is reasonably determined to be fraudulent or abusive.
  • You become subject to bankruptcy, insolvency, or similar proceedings.
  • LAW360 discontinues the platform or the specific services to which your license applies, with at least ninety (90) days prior written notice.

Upon termination, your right to access and use the platform ceases immediately. You will have a thirty (30) day window following termination to export your documents and data. After this period, LAW360 may delete your data in accordance with its data retention policies.

6. Disclaimer of Warranties

The LAW360 platform is provided on an "as is" and "as available" basis. LAW360 makes no warranties, express or implied, regarding the platform’s fitness for a particular purpose, merchantability, accuracy of translations, or non-infringement. While LAW360 strives for the highest quality in legal translation, all AI-assisted translations should be reviewed by qualified legal professionals before use in official or binding contexts.
